Twitter's lawyers, not Musk, tried to renegotiate deal, Musk's lawyer testifies
Elon Musk's attorney Alex Spiro said that Simpson Thacher & Bartlett LLP partner Alan Klein -- representing Twitter's board -- offered a 5% discount on the merger price to close the deal, but only if Musk agreed to "golden parachute" provisions for Twitter executives and waived his right to sue them.
Ahead of trial in the securities lawsuit against Elon Musk over allegedly making false statements while acquiring Twitter in 2022, Senior U.S. District Judge Charles R. Breyer said the attorneys for both sides would need to "engage in some fiction" to prevent exploitation of attorney-client privilege.
Breyer's solution: The case should be presented to the jury as if lawyers were hardly involved in the deal.
