A three-state race for incorporations

Spooked by shareholder suits and unfavorable rulings, corporations are eyeing Nevada and Texas as alternatives to Delaware -- and the competition is forcing all three states to rewrite the rules in business's favor.

With several prominent corporations, and other smaller ones, expressing dissatisfaction with the Delaware Court of Chancery over adverse rulings, Nevada and Texas see opportunity.

The upshot is that the laws in all three states - Delaware and its two leading challengers, as well as other states and the Cayman Islands -- are getting more corporate-friendly, making it more difficult for plaintiffs to file shareholder complaints and to get books and records.
